Terms of Service

The Site and our Services are intended for business owners considering or undertaking a sale of their business, prospective acquirers, and their professional advisers. By using the Site, you confirm that you are at least 18 years old and have the authority to act on behalf of any business or entity you represent.

You agree not to:

• Use the Site for any unlawful purpose or in a way that breaches these Terms
• Attempt to gain unauthorised access to the Site, our systems, or any account
• Introduce viruses, malware, or other harmful material to the Site
• Scrape, copy, or reproduce content from the Site other than for your own personal, non-commercial reference
• Misrepresent your identity or authority when booking a call or engaging our Services

We may suspend or restrict your access to the Site at our discretion if we reasonably believe you have breached these Terms.

3.1 Nature of our Services

Mayfair AI provides M&A advisory services to small business owners, pairing experienced M&A advisers with AI-assisted tools, including: preparation of indicative valuations, preparation of information memoranda and other marketing materials, identification and outreach to prospective acquirers, and support through negotiation and completion of a sale.

Specific deliverables, fees, and the precise scope of any engagement will be set out in a separate engagement letter or agreement between you and Mayfair AI (“Engagement Letter”). Where there is any conflict between these Terms and an Engagement Letter, the Engagement Letter will prevail in relation to the matters it covers.

3.2 Use of AI Tools

Certain documents and analyses we prepare (including drafts of information memoranda, valuation ranges, and acquirer-fit rankings) are generated with the assistance of AI tools. Every document is reviewed by, and every material step of a transaction is approved by, a qualified human adviser before it is sent to you or to any third party. AI-assisted outputs are a starting point for our advisers' professional judgement, not a substitute for it, and we remain responsible for the advice and materials we provide to you.

3.3 No Legal or Tax Advice

Unless expressly agreed in your Engagement Letter, our Services do not constitute independent legal, tax, or accounting advice. We recommend that you obtain your own independent legal and tax advice in connection with any transaction.

3.4 No Guarantee of Outcome

We do not guarantee that any transaction will complete, that any indicative valuation will be achieved, or any particular outcome from our Services.

3.5 Confidentiality

We treat information relating to your business and any proposed transaction as strictly confidential, and will only share it with prospective acquirers who have signed an appropriate non-disclosure agreement, and only to the extent and at the stage you have approved, as further described in our Privacy Policy. We expect the same confidentiality from you in relation to any non-public information we or a prospective acquirer share with you.

Fees for our Services will be set out in your Engagement Letter, which may include retainer fees, milestone fees, and/or a success fee payable on completion of a transaction. Unless your Engagement Letter states otherwise, all fees are exclusive of VAT, which will be added where applicable.

All content on the Site — including text, graphics, logos, and software — is owned by or licensed to Mayfair AI Ltd and is protected by copyright, trade mark, and other intellectual property laws. You may view and download content from the Site for your own personal, non-commercial use only. You may not reproduce, distribute, or create derivative works from any content on the Site without our prior written consent.

Deliverables we prepare specifically for you under an Engagement Letter (such as an information memorandum) may be used by you for the purposes of your transaction, subject to any restrictions set out in that Engagement Letter.

The Site may contain links to third-party websites, including prospective acquirers' or partners' sites. We do not control and are not responsible for the content, accuracy, or privacy practices of third-party sites. Links do not imply endorsement.

7.1 What We Don't Exclude

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable law.

7.2 General Limitation

Subject to Section 7.1 above, and to the extent permitted by law:

• The Site and general content on it are provided “as is” and “as available”, without warranties of any kind, and are for general informational purposes only
• We do not guarantee that any indicative valuation, acquirer introduction, or projected timeline will be accurate or achieved
• We will not be liable for any indirect, special, or consequential loss, or for loss of profits, revenue, business, or goodwill, arising from your use of the Site or our Services
• Our total liability to you arising out of or in connection with the Services (whether in contract, tort, or otherwise) will, save as set out in an Engagement Letter or as required by law, be limited to the fees paid by you to us in the 12 months preceding the event giving rise to the claim

Where you engage us under an Engagement Letter, the liability provisions in that Engagement Letter will apply in place of this Section 7.2 to the extent they are inconsistent with it.

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have breached these Terms. Termination of any engagement for our advisory Services will be governed by the terms of your Engagement Letter.

We may update these Terms from time to time to reflect changes in our Services or for legal or operational reasons. We will post the updated Terms on this page and update the “Last updated” date above. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms. Where you are engaged under an Engagement Letter, changes to these Terms will not vary the terms of that Engagement Letter unless agreed in writing.

If you have a complaint about our Services, please contact us in the first instance at james@mayfairai.co.uk. We will acknowledge your complaint promptly and aim to resolve it fairly and within a reasonable time.

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the law of England and Wales. The courts of England and Wales will have exclusive jurisdiction to settle any such dispute or claim.
